HotMug® Software License Agreement and Terms of Use

This HotMug Software License Agreement and Terms of Use ("HMLA") is a legal agreement between you (either an individual or, if purchased or otherwise acquired by or for an entity, an entity) and our company.
By using or/and installing the software, you are confirming your acceptance of the software and agreeing to become bound by the terms of this agreement.

1. Terms and Definitions
(a) "Company" means SC 22 Plus Network SRL located in Iassy, Romania, which owns all the rights for the HotMug Website and Software.
(b) "Software" means only the Company's software program(s) and website(s) and all the associated data.
(c) "Trial Version" means a version of the Software, so identified, to be used only to review, demonstrate and evaluate the Software for a limited time period. The Trial Version may have limited or may lack cetain features, and will cease operating after a predetermined amount of time due to an internal mechanism within the Trial Version.
(d) "User" or "you" and any other similar terms mean the person using the product or visiting the site. This person must ne human, be at least 15 years old and declare his/her real data.

2. License Grants
a) You may use the site www.hutmug.net and the online product entitled Hotmug in good faith, for managing your projects with your team or clients.
b) You have the right to create accounts and projects on the site. The limited rights for every project you create will be described at the project creation time.
c) You are solely responsible for the content of your account and your projects and you must see that this content is legal and ethic.
d) Your rights under this HMLA licence are non-exclusive, meaning that you have only rights deriving from using a version of the product. The company is and remains the solely owner of the product and has all the rights deriving from this (for example, but not limited to, copyright and intellectual property rights).
e) The product or the site might contain online advertising added by the Company at its free will. The user agrees to having online advertising in the pages of his account and of his projects. f) Violation of any of the terms of this agreement may result in the termination of your account(s) and in further access denial to the product or site.

3. License Restrictions
(a) You may not make or distribute copies of the Software, or transfer the Software to another computer or user.
(b) You may not alter, merge, modify, adapt or translate the Software, or decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form.
(c) You may not rent, lease, or sublicense the Software.
(d) You may not modify the Software or create derivative works based upon the Software. In case of modifying the product, you admit that you have no rights over the added or resulting code, which remains or/and becomes entirely the Company property.
(e) You may not disclose any technical non-public information about the product obtained after using a trial or full version of it.
(f) If in time you acquire or use two or more versions of HotMug Software, all the restritions above and the restrictions contained in the new licences apply and you have only the rights expressly granted by the Company.
(g) In the event that you fail to comply with this HMLA, the Company may terminate the license and then you lose all the licence rights .

4. Limited Warranty and Liability
a) The company holds no responsability for the data loss (and any deriving consequences, such as, but not limited to profit loss, business inrruption) supported by the user and you - the user - agree to that, as the Company does not grant that the product is error free, uninterrupted or secure.
b) The Company cannot be responsible for the Content posted by the users and you agree the you might be exposed to such materials.
c) You agree to use the product at your own risk.
d) The Software is not designed, intended or licensed for use in hazardous environments requiring fail-safe controls, including without limitation, the design, construction, maintenance or operation airports, life suport systems, communications, power facilities and so on. The Company specifically disclaims any express or implied warranty of fitness for such purposes.

5. Account or project cancellation
You are responsible for properly cancelling your account or your projects.
A project can be cancelled by deleting it from the "allprojects" page. By doing this you lose all the project content and all the associated files without any recovering possibility.
You can cancel your account at any time by sending us an email to office@hotmug.net. By doing this you lose the content and the associated files of all your projects without any recovering possibility.

6. Product modifications
The company reserves right to modify the product at any time or discontinue, temporarily or not, the its use (or any part thereof) with or without notice.

7. Jurisdiction
This HMLA shall be governed by the internal laws of Romania, without giving effect to principles of conflict of laws. You hereby consent to the exclusive jurisdiction and venue of the state courts sitting in city of Iassy, Romania, to resolve any disputes arising under this HMLA. In each case this HMLA shall be construed and enforced without regard to the United Nations Convention on the International Sale of Goods.

8.Agreement
This HMLA contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. You agree that any varying or additional terms contained in any purchase order or other written notification or document issued by you in relation to the Software licensed hereunder shall be of no effect. The failure or delay of the Company to exercise any of its rights under this HMLA or upon any breach of this HMLA shall not be deemed a waiver of those rights or of the breach.
If any provision of this HMLA shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this HMLA will remain in full force and effect.

9.License update
The Company reserves the right to update and change this agreement from time to time without notice. Continued use of the product after any such changes shall constitute your consent to such changes.
